Terms of Service

The agreement between Lynx Ledgers LLC, which operates Next Clean, and the cleaning companies and people who use it.

These Terms of Service (“Terms”) apply to the Next Clean app at app.nextcleanapp.com, this website, and the messages sent through the app. Next Clean is operated by Lynx Ledgers LLC, a Massachusetts limited liability company (“Next Clean”, “we”, “us”). By creating an account or using Next Clean you agree to these Terms and to our Privacy Policy. If you use Next Clean for a company, you accept these Terms for that company, and “you” means the company and its users.

1.The service

Next Clean is a web application that residential cleaning companies use to manage schedules, clients, estimates, agreements, invoices, payments, team pay, expenses and messages to their clients. It has an app for owners and office staff and an app for cleaning teams. Clients of cleaning companies use Next Clean only through the links and messages they receive; they do not need an account.

Next Clean is in early access. Features may change, and we may add or remove features as we improve the service.

2.Eligibility and accounts

  • You must be at least 18 years old and able to enter into a contract.
  • The person who creates a company in Next Clean is its owner. The owner decides who joins the team and what each person can see and do.
  • Give accurate information and keep it up to date.
  • Keep your password secret. Tell us right away at [email protected] if you think someone used your account without permission.
  • You are responsible for what happens under your company’s accounts.

3.Your data

You own the information you put into Next Clean (“Customer Data”). You allow us to host, process and send it only to provide and secure the service for you, as described in our Privacy Policy. For information about your clients and your team, you are responsible for it and we process it on your behalf.

You are responsible for having the right to collect and use the Customer Data, including giving any notices and getting any consents the law requires.

The owner can download a copy of the company’s data at any time, in the app under Settings → Company preferences → Download all company data.

4.Usage limits

To keep the service reliable and to prevent abuse, we limit how many messages, invitations, AI requests and other actions can be sent in a period of time. Something sent over a limit may be delayed or refused. We may change these limits as the service grows. Do not try to get around them or put unreasonable load on the service.

5.Pricing and payments

Pricing

Early access — pricing will be announced before any charge. We will not charge you anything unless you have first seen the price and agreed to it.

Payments from your clients

  • Card payments from your clients are processed by Stripe into your own Stripe account, which you connect to Next Clean. Your use of Stripe is governed by your agreement with Stripe.
  • Next Clean is not a party to these payments. We do not hold or move your funds, and we take no commission and add no platform fee on payments. Next Clean is not a bank, payment processor or money transmitter.
  • You are the seller. You are responsible for your prices, taxes, receipts, refunds, chargebacks and disputes, and for Stripe’s fees. Refunds are made from your Stripe account.
  • If you add a card convenience fee, you are responsible for following card network rules and the laws on surcharges where you operate.
  • Payments made outside Stripe (such as Zelle, Venmo, cash or check) are between you and your client. Next Clean only shows the payment instructions you enter and lets you record payments.

6.Cancellation and termination

  • You can stop using Next Clean at any time. The owner can delete the company under Settings → Company preferences → Delete this company.
  • When a company is deleted, access ends right away for everyone, links sent to clients stop working, and messages waiting to be sent are canceled. The owner can undo the deletion for 30 days; after that, the company’s data and files are scheduled for permanent deletion, which we complete within 30 more days. Download your data first if you need it.
  • Deleting the company does not close your Stripe account. Close it with Stripe if you no longer need it.
  • We may suspend or end your access if you break these Terms, if your use puts others at risk (for example, messages sent without consent), if the law requires it, or if we stop offering the service. When we can, we will give notice and time to export your data.
  • Refunds: during early access there are no fees, so there is nothing to refund. When paid plans start, their refund terms will be published with the pricing.

7.Intellectual property

The Next Clean software, design, name and logo belong to Lynx Ledgers LLC or its licensors. While these Terms are in effect, we give you a limited, non-exclusive, non-transferable right to use the service for your business. Do not copy, resell, reverse-engineer or make derivative works of the service, except where the law allows it. If you send us feedback, we may use it without any obligation to you.

8.Acceptable use

You may not use Next Clean to:

  • send messages to anyone who has not agreed to receive them, or keep messaging someone who opted out;
  • send marketing, promotional or advertising messages by SMS or WhatsApp;
  • send content about sex, hate, alcohol, firearms or tobacco (SHAFT), cannabis or illegal drugs, or content that is illegal, deceptive, harassing or threatening;
  • message purchased, rented, shared or scraped lists of phone numbers or email addresses;
  • impersonate anyone, or hide who is sending a message;
  • store sensitive information you don’t need, such as full Social Security, bank account or card numbers, in notes, fields or messages;
  • break the law, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and state privacy and telemarketing laws;
  • interfere with, probe or overload the service, or try to reach another company’s data;
  • resell the service without our written permission.

If you use the app to send commercial email (for example, an email to past clients), you are responsible for following the CAN-SPAM Act, including honoring unsubscribe requests and including your postal address.

9.Disclaimers and limitation of liability

The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that messages will be delivered, or delivered on time: delivery depends on mobile carriers, Meta, email providers and the recipient’s device.

To the fullest extent the law allows, Lynx Ledgers LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the service is limited to the greater of the amount you paid us for the service in the 12 months before the claim, or US$100.

Indemnity

You will defend and indemnify Lynx Ledgers LLC against third-party claims arising from your Customer Data, the messages you send through Next Clean, or your breach of these Terms, including claims about consent under the TCPA.

10.Governing law

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict-of-laws rules. Any dispute will be brought only in the state courts located in Bristol County, Massachusetts, or in the United States District Court for the District of Massachusetts, and you and we agree to the jurisdiction of those courts. Before filing a claim, please write to [email protected] so we can try to resolve it informally.

11.Changes and general terms

We may update these Terms. For material changes we will email account owners and post the new version on this page at least 30 days before it takes effect. If you keep using Next Clean after that date, the new Terms apply. If you don’t agree, stop using the service; you can delete your company at any time.

General terms

These Terms and the documents they mention are the whole agreement between you and us about Next Clean. If a part of them can’t be enforced, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them to a successor of our business. We send notices to the email address of the company owner.

12.SMS and WhatsApp messaging

Next Clean lets cleaning companies send service messages to their clients by SMS (from our toll-free number, +1 833-549-6398, through Twilio) and by WhatsApp (from the “Next Clean” WhatsApp business account, through Meta, on behalf of and with the authorization of the cleaning company). The program is described in full on our SMS & WhatsApp Messaging Program page, which is part of these Terms.

If you receive messages from a cleaning company

  • You receive these messages only after you agreed to them with your cleaning company. Consent to receive SMS is not a condition of purchasing any goods or services.
  • The messages are about your cleaning service: visit reminders and updates, estimates, agreements, invoices, receipts, statements, payment reminders, requests to rate a visit, and replies from the company. Message frequency varies based on your service activity with the cleaning company. Message and data rates may apply.
  • Reply STOP to any text message to opt out, and START to opt back in. On WhatsApp, reply STOP to opt out and START to opt back in. Reply HELP for help, or email [email protected]. The full keyword list is on the SMS & WhatsApp page.
  • SMS is sent only to U.S. mobile numbers (+1); for other numbers the app uses WhatsApp or email instead, if you accept them. Mobile carriers are not liable for delayed or undelivered messages.
  • No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Each time you check “Accepts SMS” or “Accepts WhatsApp messages” on a client’s record, or send a message to a client through Next Clean, you confirm and agree that:

  1. Consent first. The client agreed to receive service messages from your company on that channel before you checked the box, after hearing or reading the disclosures on our SMS & WhatsApp page (or disclosures at least as clear). You check only the box for the channel the client agreed to.
  2. You keep the proof. You keep a record of each consent (how and when it was given, and who recorded it) for at least four years, and you give it to us promptly if we, Twilio, Meta or a regulator ask for it. Next Clean records the date and the user who checked a box, but not how the client agreed.
  3. You are responsible for consent. You are responsible for your messages and for complying with the TCPA, CTIA guidelines, WhatsApp’s business policies, and state laws on text messages and telemarketing.
  4. You honor opt-outs. When a client opts out in any reasonable way (by replying STOP, by telling you, or otherwise), you stop messaging them on that channel and uncheck the box, within 10 business days at the latest. You never check it again without new consent.
  5. Service messages only. You send only messages about the client’s own cleaning service. No marketing or promotions by SMS or WhatsApp, and no purchased, rented, shared or scraped phone lists.
  6. Your name in every message. You keep your company’s name in every message you send, including messages whose wording you edit.
  7. U.S. numbers and reasonable hours. You turn on SMS only for U.S. mobile numbers (+1) (the app does not send SMS to other numbers), and you do not send messages before 8:00 a.m. or after 9:00 p.m. in the client’s local time, except to answer a client who just wrote to you.

We may pause messaging for a company that breaks these rules, or that receives unusual numbers of opt-outs or complaints.

Messages to your team

Invitations, pay stubs and owner alerts go to the phone number or email address on the team member’s profile, when you send them or turn them on. You enter a team member’s mobile number and text them only after that person agrees, and you are responsible for having that permission. Replying STOP to a text stops further texts from our number to that phone.
